Membership Agreement

By executing the Registration Agreement to POE Bonus Program Agreement, you apply for legal authorization to become a POE Member and enter into a contract with POE Pte.Ltd. (POE). Your contract with POE includes all of the terms in this Agreement, any renewal form(s) executed or authorized by you, the Bonus Program Description and Compensation Plan, the Privacy Policy and the Terms of Use. You acknowledge that prior to signing this Agreement you have received, read and understood a copy of POE’s Bonus Program Description and Compensation Plan authorized by POE, that you have read and understood the POE’s Terms of Use and Privacy Policy, which are incorporated into this Agreement and made a part of it as if restated in full, and that you have read and agree to all terms set forth in this Agreement.


Members are independent contractors. The Agreement between POE and its Members does not create an employer/employee relationship, agency, partnership, or joint venture between the Company and the Member. Members shall not be treated as an employee for his or her services or for Federal or state tax purposes. All Members are responsible for paying local, state, and federal taxes due from all compensation earned as a Member of the Company. POE is not responsible for withholding, and shall not withhold or deduct from a Representative’s bonuses and commissions, if any, FICA or taxes of any kind, unless withholding becomes legally required. Members have no authority (expressed or implied), to bind the Company to any obligation. Members are not authorized to and will not incur any debt, expense, obligation, or open any checking account or credit card on behalf of, for, or in the name of POE. Each Member shall establish his or her own goals, hours, and methods of sale, so long as he or she complies with the terms of the Membership Agreement, these Policies and Procedures, and applicable laws. Each Member shall be solely responsible for paying all expenses incurred, including but not limited to travel, food, lodging, secretarial, office, long distance telephone, and other expenses.


The member subscribes to the company making an advanced payment for the PACK of his/her choice. The member then receives a user code called ID, enabling him/her to developed its network, making him/her "a POE company`s official member ", with an option to subscribe other people under his/her code.

Once the member chooses the desired PACK, he/she has the option to enter the referral plan called “Product Package” which is defined by the company's rules. Currently we have 5 packs and 5 binaries. With the purchase of any of the 5 packs, the members will then have the right to participate in its corresponding Product Package.

Our single payment is an innovative payment system, which means that only one purchase (payment) is required in order to participate in our bonus plans and residual income.

PACK 1 (Bronze)= Product Package 1
PACK 2 (Silver)= Product Package 2
PACK 3 (Osmium)= Product Package 3
PACK 4 (Palladium)= Product Package 4
PACK 5 (Gold)= Product Package 5

Currently the company sells 5 sets of products called "PACKS " corresponding to each Product Package.

Each pack has a different cost:

• Bronze Pack: 300 POE POINTS
• Silver Pack: 500 POE POINTS
• Osmium Pack: 800 POE POINTS
• Palladium Pack: 1,300 POE POINTS
• Gold Pack: 2,200 POE POINTS

How to participate in the Product Package bonus plan:

Option 1: Purchase one of the packs.
Example: you are eligible to enter the Product Package 1 with the purchase of the bronze pack.
Option 2: purchase more than 1 pack.
Example: you are eligible to simultaneously enter the express binaries 2 and 4 with the purchase of the silver pack and the palladium pack.
Option 3: purchase all the packs
Example: you are eligible to simultaneously enter all the express binaries with the purchase of all the packs (1, 2, 3, 4 & 5)

In order to enter the Binaries Express 1, 2, 3, 4 and 5, the member can automatically do so by purchasing its corresponding PACKs 1, 2, 3, 4, and 5. Also, by gradually completing the Binaries Express, the member can move up and reach the desired Product Package. For example, if the member wishes to reach the Product Package 5, he/she can start from the Product Package 1. Once completing this Product Package, the member moves on to the next one (2), and so on until he/she reaches the last Product Package (5).

-All bonuses and commissions will be delivered in POE POINTS.

The member will never receive money for just bringing people into the company without purchasing our products. It is clear that the members get their benefits from commercializing our products.

Our means of payments are:

-Bank transfer to the account number of the member.
-Credit Card.
-Payments by credit notes (codes).
-POE POINTS (company`s representative currency).
-Gold bars.

COMPLETION OF A Product Package

In order to participate in POE’s membership agreement and compensation plan, each member needs to purchase one of the available packs. Nevertheless, POE is not required to provide additional educational materials (packs) every time the member completes the closing of a Product Package, or when the member moves up to the next Product Package, or when the member chooses to redo the same Product Package.


To become a POE Member, each applicant must:

1. Be at least 18 years of age. If not in the U.S., you must be of age and have legal capacity according to the law of the country where you reside;

2. Submit a properly completed Membership Agreement to POE;

Until such time as each of the above takes place, and POE has accepted the Membership Agreement, an applicant is not a Member. POE reserves the right to accept or reject any Membership Agreement for any reason or no reason.


A Business Entity may apply to be a POE Member by submitting an Application and Agreement along with a properly completed Business Entity Registration form along with corporate documents and any tax entity or IRS form required by POE to make payments to the Business Entity. A POE Member may change its status under the same Sponsor from an individual to a Business Entity. The Business Entity Registration form must be signed by all of the owners, shareholders, members, partners or trustees or provides copy of proper signed corporate resolution. The Application MUST include a copy of a corporate resolution, or a similar document under the law of the country that regulates the business entity, stating the capacity of the person or persons signing on behalf of the company. The Business Entity and its owners, shareholders, members, managers, partners, trustees, or other parties with any ownership interest in, or management responsibilities for, the Business Entity (collectively "Affiliated Parties") are individually, jointly and severally liable for any indebtedness to POE, compliance with the POE Policies and Procedures, compliance with the POE Membership Agreement, and all other obligations to POE. POE will recognize only one individual in regards to any benefits received based on account performance. Be sure to indicate who shall receive said benefits (should any occur) when completing the Business Entity Registration Form. If no one is listed, POE will deem it to be the first person listed on the form.


Once a Membership Agreement has been accepted by POE and the requirements to become a POE Member have been satisfied, the benefits of the Compensation Plan and the Membership Agreement are available to the new Member. These benefits include the right to:

1. Promote and sell POE products and services;
2. Participate in the POE Compensation Plan (the right to receive commissions from the sale of POE products and services);
3. Sponsor other individuals as Members into the POE Bonus Program and thereby
4. Receive periodic POE literature and other POE communications;
5. Participate in POE support, service, training, motivational and recognition functions, upon payment of appropriate charges, if applicable; and
* Participate in promotional and incentive contests and programs sponsored by POE for its Members.


The term of the membership Agreement is for a period of one (1) year from the date the Membership Agreement is accepted by POE subject to prior termination pursuant to this Agreement and shall automatically renew for successive one year terms unless either party notifies the other party in writing that it does not wish to renew the Membership Agreement.

In order to keep the membership active, the member must make a minimum of one purchase of any of the packs per year. If the member fails to renew the membership before the expiration date, the membership will terminate.


You must maintain a current authorization in order to preserve your rights as a member of the Bonus Program, including all rights of sponsorship with POE Members and Members you register. The term of your Membership Agreement expires on January each year. To remain a Member, you must annually submit prior to December 31st a request to renew the Membership Agreement along with the required annual purchase.


We will determine your compliance with this Agreement in our sole discretion and our decision shall be final and binding. Any violation of this Agreement may result in restrictions on your access to all or part of the Site and may be referred to law enforcement authorities. No waiver of any of this Agreement shall be of any force or effect unless made in writing and signed by a duly authorized Agent of POE. We reserve the right to modify or discontinue this Site, or any portion thereof without notice to you or any third party. Upon termination of your membership or access to the Site, or upon demand by POE, you must destroy all materials obtained from this Site and all related documentation and all copies and installations thereof. You are advised that we will aggressively enforce our rights to the fullest extent of the law.

If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of this Agreement, which will remain in full force and effect. The section titles in this Agreement are for your convenience only and do not have any legal or contractual effect.

If a Member desires to terminate this Agreement he is allow to do so at any time. However, once you terminate the Membership, you would lose all exchangeable bonuses you do not have in your account.


Each Member must adhere to the terms of the POE Compensation Plan as set forth in official POE’s literature.


You agree that during the period while you are a POE Member, and for two years following expiration or termination of your Membership, you will not compete with POE. This covenant shall survive the expiration or termination of your Membership Agreement for any reason.


Each Member is responsible for paying all local, state, and federal taxes on any income generated as a Member. POE cannot provide Members with any personal tax advice. Members should consult with their own tax accountant, tax attorney, or other tax professional.


Each Member must directly join the Company and purchase products and services on his or her own volition. As a result, the following activities are strictly prohibited for any reason including "bonus buying." Members are prohibited from: (a) the enrollment of individuals without the knowledge of and/or execution of a Membership Agreement by such; (b) the fraudulent enrollment of an individual as a Member or Customer; (c) the enrollment or attempted enrollment of nonexistent individuals as Member or Customers ("phantoms "); (d) the use of a credit card by or on behalf of a Member when the Member is not the account holder of such credit card; (3) the purchasing of products, services or other items on behalf of another Member or under another Member’s I.D. number for any purpose including, without limitation, to qualify for commissions or bonuses. Members agree that they shall not purchase POE’s products or services for the sole purpose of qualifying for compensation under the Compensation Plan. Nor shall any Member influence or attempt to influence any other Member to do the same. Bonus buying also includes any mechanism or artifice to qualify for rank advancement, incentives, prizes, commissions or bonuses that is not driven by bona fide product or service purchases by end user consumers.


Members shall comply with all federal, state, and local laws and regulations in the conduct of their businesses. Many cities and counties have laws regulating certain home-based businesses. Members must obey those laws that do apply to them. If a city or county official tells a Member that an ordinance applies to him or her, the Member shall be polite and cooperative and consult the appropriate legal advisor as to its applicability and compliance.


POE does not permit the use of any financing options or terms by a member to his or her team or prospects. This includes, but is not limited to: Bonus Program membership and product or service purchases. All purchases are to be made through the POE site and by no other means. Violation of this policy may include suspension or termination of the Membership Agreement.


Each member must immediately notify POE of all changes to the information contained on his or her Registration Form. Members may modify their existing information by submitting a written request and appropriate supporting documentation.


When sponsoring a new member through the online enrollment process, the Sponsor may assist the new applicant in filling out the enrollment materials. However, the applicant must personally review and agree to the Membership Agreement. The Sponsor may not fill out or submit the Membership Agreement on behalf of the applicant.


The Membership Agreement is a contract for personal services. Upon the death or incapacitation (as determined in the Company’s sole discretion) of a Member, the Membership Agreement shall require the following actions.

To effect a testamentary transfer of an POE Membership, the executor of the estate must provide the following to POE: (a) an original death certificate; (b) certified letters testamentary or a letter of administration appointing an executor; and (c) written instructions from the authorized executor to POE specifying to whom the membership and income should be transferred.

To effect a transfer of a membership because of incapacity, the successor must provide the following to POE: (a) A notarized copy of an appointment as trustee; (b) A notarized copy of the trust document or other documentation establishing the trustee’s right to administer the POE membership; and (c) A completed Membership Agreement executed by the trustee.


POE reserves the right to amend these Policies and Procedures in its sole and absolute discretion. By entering into the Membership Agreement, a Member agrees to abide by all amendments or modifications that POE elects to make. Amendments shall be effective 30 days after publication of notice that the Agreement has been modified. Amendments shall not apply retroactively to conduct that occurred prior to the effective date of the amendment. Notification of amendments shall be published by one or more of the following methods: (a) posting on the Company’s official web site; (b) electronic mail (e-mail); (c) inclusion in Company periodicals; or (d) special mailings. In the event of substantive changes, you will be required to affirmatively assent to the changes. For other changes, the continuation of a Membership, the acceptance of any benefits under the Agreement, or an Member’s acceptance of payments from the sale of POE products or services constitutes acceptance of the amendments.


By signing this disclosure you acknowledge that the services and program offered by POE are part of a multilevel marketing business, and in no way is POE’s intention to serve as a Pyramid scheme, Ponzi scheme or any other scheme to defraud or mislead its members. Additionally, despite any alliances POE may have with gold dealers, and despite the fact that one of the methods of payments available to POE’s members is in gold, you acknowledge POE is not a dealer of gold. Moreover, by signing off this disclosure you acknowledge you have the right to consult an attorney prior to becoming a member of POE.
